*** CHAPTER CONSTITUTION ***

  

ARTICLE I

 NAME

 

Section 1:  The name of this organization shall be the PAN-AMERICAN GOLF ASSOCIATION OF TEMPLE, TEXAS, here after referred to as the Club.

 

ARTICLE II

 PURPOSE

 

Section 1:  The purpose of this Club shall be to preserve the history, traditions and ideals of the National Pan-American Golf Association by bringing together individuals interested in the sport of golf, instilling a sense of fair play, the desire to spend time enjoyably, promote amateur golf in the community, and to promote junior golf.

 

Section 2:  This Club has been established in accordance with, and is subject to the rules and regulations of the National Pan-American Golf Association and its objectives will be generally in accordance with those of the parent organization.

 

Section 3:  To cooperate with and solicit good, friendly relations with local civic and athletic organizations and with other Pan-American Golf Association Chapters.

 

Section 4:  To provide a governing body to administer the affairs of the Club consistent with national rules and regulations and to plan, coordinate and enforce the provisions of this constitution and its by-laws.

 

ARTICLE III

 MEMBERSHIP

 

Section 1:  Any individual, male or female, in good standing in the community may solicit membership in this Club by application, oral or written, to any active member.

 

Section 2:  Membership will not be denied any person on the basis of race, religion, national heritage, sex, or physical handicap.

 

Section 3:  All individuals duly accepted, as active members shall be subject to the rules and regulations of the club and the national organization, and be eligible to participate in all activities of the Club.

 

Section 4:  A member can be expelled from the Club by a majority vote of the membership, in accordance with procedures in the By-Laws.

 

Section 5:  It will be mandatory for all members to participate in the Minimax handicap system.

 

 ARTICLE IV

 OFFICERS

 

Section 1:  Elected officers of the Club shall include:  President, Vice-President, Secretary, and Treasurer.

 

Section 2:  The President, at his or her discretion may appoint officers within the Club to include:  Tournament Director, Handicap Chairman, Sergeant at Arms, Public Relations Coordinator, and other positions beneficial to the Club.

 

Section 3:  A Board of Directors will be comprised of the Officers; in addition, three (3) active members will be appointed by the President to serve in an advisory capacity and will assist the elected Club officers in the administration and operation of the club. 

Section 3A:  The appointees must have a minimum of 1 year of active membership in the Club and will serve 1-year terms. 

Section 3B:  One appointee will be automatically filled by the outgoing President.

 

Section 4:  Elections of officers will be conducted annually.  Nominations for officers shall be submitted to the membership commencing with the scheduled membership meeting held in October and be open until the actual vote for officers is taken at the scheduled membership meeting in December.  Elected officers will assume their new positions beginning January 1, following the election process.

 

Section 5:  Elected officers must have been a member of the Club for not less than two (2) calendar years prior to assuming office.

 

Section 6:  Elected officers shall serve a term of one (1) calendar year.

 

Section 7:  The full term of office shall be January 1 to December 31.  Officers elected for vacancies that occur during the year will serve the remainder of the year.

 

Section 8:  All officers may succeed themselves if nominated and elected by the membership, except the president, who shall be limited to two (2) consecutive terms in office.

 

ARTICLE V

MEETING PROCEDURES

 

Section 1:  The constitution and by-laws shall be strictly adhered to at all meetings.  Robert’s Rule of Order shall govern wherever and whenever applicable if no inconsistencies exist with the constitution and by-laws.

 

Section 2:  Regular meetings of the Club will be held at least once a month at a time prescribed by the officers of the club.

 

Section 3:  Special meetings will be held as designated by the Club president.

 

ARTICLE VI

RESTRICTIONS

 

Section 1:  It is absolutely prohibited to discuss at any of the membership meetings subjects pertaining to religion, politics, or unionism.

 

Section 2:  It is absolutely prohibited for any individual to use the name of this Club in matters that may affect said Club, or in matters which do not concern the Pan American Golf Association, without written consent of the Club.

*** CHAPTER BY-LAWS ***

 

 

SECTION 1:  DUTIES OF OFFICERS

 

President – The President shall be the chief executive officer of the Club and shall be responsible for the general administration of its affairs, except as otherwise provided.  He shall appoint such officers and committees as may be provided for in this Constitution and By-Laws and such special committees as may be authorized by the Club.  He shall be a member ex officio of all committees.  Together with the Treasurer or the Vice President, he shall sign all orders and checks lawfully and properly drawn.  He shall have general supervision of the activities of the other Officers and Chairmen of Committees.  Should an officer or director resign his post for any reason, the President will appoint another member to complete the term of office within thirty (30) days.  Should an officer or director resign within sixty (60) days of the completion of his term, the President may elect to defer appointing a replacement in lieu of the forthcoming election.

 

Vice President – The Vice President shall assist the President in such a manner as the President may determine.  In the absence of the President, it shall be the duty of the Vice President to perform all duties of the President.  He shall promote and publicize all business and golf tournaments of the Club.  Together with the Treasurer or the President, he shall sign all orders and checks lawfully and properly drawn.  Should the President resign or otherwise become unable to complete his term of office for any reason, the Vice President will automatically assume the office of the President.

 

Secretary – The Secretary shall be responsible for the maintenance of the Club records, including membership and attendance records, minutes of Board of Director meetings, minutes of general membership meetings, and carry on all correspondence of the Club.

 

Treasurer – The Treasurer shall be responsible for all Club funds and present a financial statement to the Board of Directors as often as the Board may direct.  He will receive all income for deposit and substantiate financial reports at all general membership meetings and will keep accounts of all assets including materials and equipment.  Two signatures will be required on all checks coming out of the Club’s Accounts.  Three (3) signatures will be on file at the bank, any two (2) of which can be honored.  The signatures will be those of the President, Vice President, and Treasurer.

 

Tournament Director – The Tournament Director shall be responsible for scheduling all tournaments to be hosted by the Club.  He shall work with area courses to obtain the best price for green and cart fees to limit the cost to the Club’s members.

 

Handicap Chairman – The Handicap Chairman shall be responsible for keeping scoring records for all members.  He shall adjust the scores in accordance with the U.S.G.A. Equitable Stroke Control regulations.  The adjusted scores will be submitted to Minimax monthly.  He shall keep records of each member’s handicap and provide the member’s handicap cards as they are provided by Minimax.  He will work with the Tournament Director to properly score each tournament hosted by the Club.

 

Sergeant at ArmsThe Sergeant at Arms shall be responsible for maintaining order at all meetings.  He will be familiar with proper parliamentary procedures.

 

Public Relations Coordinator – The Public Relations Coordinator is responsible for working with area businesses to help support the Club.  He shall provide updates as to the progress with sponsors at the general membership meetings.

 

 

 

 

SECTION 2:  MEMBERSHIP GUIDELINES

 

An officer may be removed from office if he/she is absent from three (3) consecutive scheduled general membership meetings or a total of five (5) scheduled membership meetings during the year.  Removal shall only be upon the recommendation of a majority of the Board of Directors and vote of at least two-thirds (2/3) of the membership present at the next scheduled membership meeting.

 

Each member shall be assessed annual dues as set by the Board and approved by the Club members.  First year members may be charged pro-rated annual dues for their first year of membership, and will not have voting privileges until the beginning of the following membership year.

 

The current dues are $36 annually and have properly been voted on by the members.

 

A Minimax fee is included in the annual membership dues collected from the members.  The Treasurer, to pay for the Minimax handicap system, will remit the fee in accordance with established procedures from the National By-Laws.

 

Current members with annual dues not paid by January 1 will be dropped from the Minimax handicap system.

 

Application for membership shall be a completed application form and be accompanied by the initial payment of annual dues.

 

Resignation of membership shall be written notification to the Board of Directors.  Annual dues will not be refunded if the member has participated in any Club functions for the current year.

 

Appointment of non-elected Officers and Board of Directors shall be conducted at the January membership meeting.

 

Regular club membership meetings will be held the first Tuesday of each month, or as designated by the Board.

 

Members wishing to compete for the Club Championship must compete in five (5) Temple PAGA tournaments during the year beginning with the first round following the prior year's Club Championship.

 

New members will be subject to the “Callaway Handicap System” (see Appendix A) for their first five (5) Temple PAGA tournaments.  After five (5) rounds the member will be eligible for the Minimax handicap system.

 

SECTION 3:  COMMITTEES

 

Committees will be used to help administer the affairs of the Club.  Active members will be used to chair all committees so as to promote interest and enthusiasm in the Club activities.

 

Committees will be recommended by the Club officers during the October membership meeting.  The President will appoint committee chairpersons at the November membership meeting.  The committee chairperson, in cooperation with the President, will seek committee members and make a formal introduction of the committee to the Club at the December membership meeting.

 

Recommended standing committees are as follows:  Invitational Committee, Scholarship Committee, and Christmas Committee

 

All committee activities will be governed by the chapter constitution and its by-laws.

 

 

 

 

SECTION 4:  CONTROL OF FUNDS

 

The Treasurer will be authorized to make payment of routine recurring bills and payments of expenditures authorized by the membership in the conduct of regular Club meetings.

 

                Receipts and supporting documents must be obtained and maintained by the Treasurer for all expenditures.

               

Auditing of the treasury records will be conducted on the second and fourth quarter of each fiscal year.  The Board of Directors will conduct this audit.

 

The Treasurer should keep approximately $1500 in the Club’s checking account for use in normal course of business.  The remaining Club’s funds are to be kept in a Money Market account.  These provisions have been approved by a vote of the membership.

 

Any transfer of Club investments and/or holdings must be approved by two-thirds (2/3) of the Board of Directors.

 

SECTION 5:  AMENDMENTS

 

Changes to this constitution and by-laws may be made by calling a special meeting of the general membership.  The time and place of such a meeting shall be designed by the President.

 

Any member in good standing wishing to amend this constitution and its by-laws must first petition the Club officers at least forty-five (45) days prior to calling the special meeting.

 

A majority of the members present at the special meeting will be required to ratify any amendments to this constitution and its by-laws. 

 

 

 

 APPENDIX A:

 

The Callaway Handicap System

Under the Callaway System a player's handicap is determined after each round by deducting from his gross score for 18 holes the scores of the worst individual holes. A players two worst holes are excluded from any calculations, allowing the handicap to be based on the remaining 16 holes using the tables below.  The tables below show the number of "worst hole" scores he may deduct and the adjustment to be made, based on his gross score. For instance, if his gross score for 18 holes is 96 (par 72), he turns to the table and opposite that score finds that he may deduct the total for his three worst holes scored on his lowest 16 holes. Thus, if he has one 9, one 8, and a 7, his handicap totals 24 (9+8+7=24). From his total further plus or minus adjustment is then made according to the adjustment shown at the bottom of each column. For a gross score of 96, the adjustment requires a deduction of 2, resulting in a final handicap of 22. This 96 minus 22 (handicap) equals a net score of 74.
